Oracle Files to Sell $10 Billion of Stock and $10 Billion of Bonds for Its AI Buildout, as Shares Fall More Than 4% and Its Credit Default Swaps Trade Near Junk Levels

Oracle’s Q4 earnings missed expectations but stock jumped ~11% after new cloud deals

  • Oracle is raising $20 billion. The company filed with the Securities and Exchange Commission on Monday to sell $10 billion in common stock and $10 billion in senior notes to finance its artificial intelligence buildout. Proceeds are earmarked for general corporate purposes, which may include capital expenditures, debt repayment and future investments.
  • The plan was not a surprise, but shares still slid. Oracle outlined the fundraising at last Wednesday’s investor day, where it also forecast fiscal 2030 revenue of at least $225 billion, and the stock initially bounced. On Monday, shares tumbled more than 4%, leaving them down 33% in 2026 and 50% over the past 12 months.
  • Credit markets are flashing caution. The yield on Oracle’s investment-grade 4.95% bond due in 2031 stands at 7.157%, and its five-year credit default swap spread sits at 296, up 270% in one year, which S&P Global Market Intelligence’s Gavan Nolan said is more in line with a high-end junk rating. S&P cut Oracle to BBB- in July, one notch above high yield, and the company had $125.34 billion in debt as of Aug. 31, mostly in senior notes.
  • Not everyone is bearish. Stephens upgraded Oracle to overweight from equal weight on Monday, saying the investor day “resolved our/market’s biggest questions,” according to CNBC’s roundup of analyst calls.

What Happened?

Oracle filed paperwork on Monday to issue $10 billion of new common stock and $10 billion of senior notes, executing on a financing plan it laid out at its investor day last week. The company said the money could go toward capital expenditures, repayments of debt and future investments. Shares fell more than 4% on the day. Stock and bonds in the company co-founded by former CEO Larry Ellison have been under pressure amid concerns about the amount of debt being taken on to fund AI infrastructure.

Why It Matters?

Oracle has become the market’s clearest test of how far investors will finance the AI buildout. Selling equity alongside debt is a signal that the company is trying to protect its investment-grade rating, which sits just one notch above junk, rather than keep piling on leverage. But new stock dilutes existing shareholders, and the 7.157% yield on its 2031 bonds and a CDS spread consistent with a high-end junk credit show lenders are already demanding a hefty premium. How this $20 billion raise is absorbed will help set the cost of capital for other heavily indebted AI infrastructure players.

What’s Next?

Watch the pricing and demand for the notes and the size of any discount on the stock sale, both of which will show how much appetite remains for AI-linked paper. Investors will also track whether S&P or other agencies move on Oracle’s rating, and whether its CDS spread widens or narrows once the deals are done. Longer term, Oracle has to show progress toward its fiscal 2030 target of at least $225 billion in revenue to justify the spending.
