Marvell Makes a $115 Billion All-Stock Bet on Optical AI Networking With a Deal for Lumentum, Offering 4.5 Shares for Each Lumentum Share

Marvell Technology Earnings Highlights: Strong AI-Driven Growth and Positive Outlook

  • Marvell is buying Lumentum. Marvell Technology said on Monday it will acquire optical components maker Lumentum in an all-stock transaction that carries an implied enterprise value of $115 billion for Lumentum. Lumentum shareholders will receive 4.5 Marvell shares for each Lumentum share, and the deal is expected to close during the first half of 2028.
  • The value floats with Marvell’s stock. Because it is a fixed-ratio deal with no cash component, the final price will depend on where Marvell shares trade. Marvell’s market value has more than tripled over the past three years on AI enthusiasm, while Lumentum’s stock has more than doubled in 2026 alone, and Lumentum shares were halted in premarket trading after the announcement, according to CNBC.
  • It is an architectural bet. “AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity, creating an opportunity that comes along once in a generation,” said Marvell Chairman and CEO Matt Murphy, adding that the companies that move first “will set the standard for decades to come.” Marvell says combining electrical and optical technologies lets it meet shifting AI connectivity demands, as companies increasingly rely on optical links to tie together chips that train and run large language models.
  • The timing is bold. The takeover is one of the most significant bets on AI in 2026 and comes despite growing doubts about the sustainability of infrastructure spending. On the same day, Melius Research cut price targets on several AI hardware names, including Marvell, Nvidia and Broadcom, saying multiples may remain under pressure as the buildout will feature more backstops through 2028.

What Happened?

Marvell announced the Lumentum acquisition in a release on Monday, framing it as a way to address the growing connectivity demands of the AI infrastructure buildout. The deal follows Marvell’s closing earlier this year of a multibillion-dollar acquisition of Celestial AI, a startup focused on optical interconnect technology. Lumentum shareholders will be paid entirely in Marvell stock at a ratio of 4.5 shares each, putting the implied enterprise value at $115 billion. The companies expect the transaction to close in the first half of 2028.

Why It Matters?

Companies increasingly rely on optical links to connect the chips that train and run large language models, which is the shift Murphy is betting on. By pairing its custom silicon and electrical interconnect business with Lumentum’s optical components, Marvell is trying to own more of the data center network rather than just a slice of it. Paying in stock lets Marvell use its richly valued shares as currency without adding debt, but it also means Lumentum holders take on Marvell’s volatility for more than a year. The deal is a high-profile vote of confidence in AI capex at a moment when analysts such as Melius are trimming targets across the group.

What’s Next?

The long road to a first-half 2028 close leaves plenty of room for swings in Marvell’s share price to change the effective value of the deal. Investors will watch for more detail on how the combined company plans to merge Marvell’s electrical technology with Lumentum’s optical products, and whether rival chipmakers respond with their own optical deals. Any further cooling in AI spending would test the premise of the deal before it closes.
