CVS Will Split in Two by Early 2028, Separating Aetna and Caremark From Its 9,000 Pharmacies and Unwinding the Merger That Defined Healthcare Gigantism

  • CVS is breaking itself up. CVS Health said it will split into two publicly traded companies, with one housing insurer Aetna and pharmacy-benefit manager Caremark and the other its 9,000 retail pharmacies. The separation is planned for the first half of 2028, and current shareholders will own shares in both companies.
  • The deal it unwinds was one of the biggest of its era. The split reverses the near-$70 billion merger that brought CVS and Aetna together about a decade ago, creating one of a new breed of healthcare giants spanning insurance, drug benefits and retail. Chief Executive David Joyner said “the businesses are best served by splitting,” adding: “We’re basically taking what I believe is one great company and making it two.”
  • The two companies will look very different. The company keeping the CVS Health name, run by Joyner, will hold Aetna, Caremark, Oak Street Health’s senior clinics, home-visit provider Signify Health and the specialty-drug business, a key growth driver. The new CVS Pharmacy will own mail-order pharmacy, the retail drugstores, MinuteClinic and Health100, an AI-powered consumer digital tool.
  • Regulatory pressure is the backdrop, even if CVS says it is not the reason. Integrated healthcare giants face growing scrutiny from federal and state regulators and lawmakers, and Republicans in Tennessee and Arkansas have passed laws, challenged in court by CVS and others, that would ban co-ownership of pharmacies and PBMs. That scrutiny may intensify with Democrats winning congressional majorities, though Joyner said the split was not driven by regulatory issues.

What Happened?

CVS said it will separate its insurance and pharmacy-benefit operations from its retail pharmacy chain, with the breakup planned for early 2028. Joyner said the move will let two separate management teams focus on their own businesses and be more agile, and that a turnaround at Aetna and stronger retail results allow the company to act from a position of strength. The two companies will be linked by a commercial agreement that preserves “some products and services that actually make the companies unique.” The Financial Times first reported the breakup earlier on Tuesday.

Why It Matters?

The split marks a reversal of the vertical integration model that reshaped US healthcare over the past decade. Pairing Aetna with Caremark keeps the two businesses that manage health and drug benefits together, and the senior-focused assets are meant to strengthen Aetna’s key Medicare business. The stand-alone pharmacy company, however, will face the long-running challenges of the retail drugstore business without the protection of the PBM and insurance units. Its biggest rival, Walgreens, went private last year after struggling to regain momentum, which shows how hard that market has become.

What’s Next?

Investors will want details on how debt, costs and the commercial agreement will be divided between the two companies before the 2028 separation. The PBM laws in Tennessee and Arkansas remain in court, and a Democratic Congress could add pressure on integrated insurers and benefit managers. Joyner says CVS Pharmacy has been gaining market share and stabilizing margins after trimming underperforming stores, and the coming quarters will test whether it can stand on its own.
