Meta Plans to Raise $95 Billion, Including $60 Billion Through an At-the-Market Program, With Nvidia, AMD and Broadcom Interested in Buying Up to $5 Billion

  • Meta said Monday it plans to raise a total of $95 billion to fund AI infrastructure and superintelligence, starting with $35 billion of underwritten public equity offerings before raising another $60 billion through an at-the-market program. The ATM portion is about 63% of the total (Lumida calculation), which lets Meta sell shares gradually rather than all at once.
  • Nvidia, Advanced Micro Devices and Broadcom were interested in buying up to $5 billion of the shares, Meta said, which would tie three chip suppliers more closely to one of their customers. Meta stock fell 1.6% in morning trading after the announcement.
  • The raise follows third-quarter results last week in which revenue jumped 26% to $64.60 billion, beating the $63.37 billion estimate, but investors focused on negative free cash flow and a higher capex forecast. Meta now expects full-year capex of $135 billion to $145 billion, lifting the bottom of the range from $130 billion.
  • Meta joins a line of tech companies tapping capital markets for AI, after Alphabet said in June it would look to raise $85 billion, SpaceX closed a $40 billion debt financing for GPUs and Anthropic prepares to go public. Goldman Sachs estimates AI-related capital spending could total about $7.6 trillion from 2026 through 2031.

What Happened?

Meta announced Monday that it plans to raise $95 billion to support investments in AI infrastructure and superintelligence, starting with $35 billion of underwritten public equity offerings and following with $60 billion through an at-the-market program. The company said Nvidia, AMD and Broadcom were interested in purchasing up to $5 billion of the shares. Meta said the investments will support “emerging AI opportunities” including its family of apps, its AI agent Muse and its data center business. It plans to fund these through a mix of operating cash flow, investment-grade debt, partnerships and equity capital. Meta is building four “superclusters” with more than 1 gigawatt of capacity each and says it is on track to nearly double its total infrastructure capacity in 2026.

Why It Matters?

An equity raise of this size, coming days after Meta reported negative free cash flow, signals that even the most profitable hyperscalers now see the AI buildout outrunning internal cash generation. Selling stock dilutes existing shareholders, which helps explain the 1.6% drop, but it also limits the strain on Meta’s balance sheet compared with relying on debt alone. Supplier participation from Nvidia, AMD and Broadcom will look to some investors like circular financing, where chipmakers help fund the customers who buy their chips. CCS Insight’s Ben Wood told CNBC the raise “reflects the eye-watering levels of investment required to keep up in the AI arms race.”

What’s Next?

Investors will watch the pricing and demand for the $35 billion underwritten tranche, then the pace at which Meta uses the $60 billion ATM program, since steady issuance can weigh on the stock over time. The next earnings reports will show whether the extra capital narrows the negative free cash flow investors flagged last week. Watch also whether other hyperscalers follow with equity of their own, as Big Tech earnings this week give more detail on capex plans. Any formal commitment from Nvidia, AMD or Broadcom would put a firmer number on supplier support.

Affected Tickers and Coins: META, NVDA, AMD, AVGO
