- Anthropic plans to go public as a public benefit corporation, a rare structure for a listed company, at a valuation of $1.5 trillion or more. Under the PBC wrapper its board must balance a public-benefit mandate with standard fiduciary duties to shareholders.
- Control stays concentrated. Seven co-founders, including Dario Amodei, hold a single Class F share carrying 50.1% of total voting power, an independent trust elects a majority of directors, and a public benefit fund holds about 847 million Class N shares, roughly 5% of fully diluted shares as of June 30.
- Legal experts see ambiguity. Delaware corporate lawyer Lawrence Hamermesh said directors must balance purpose with profit and “if you ask me what that means… I would say, ‘Good luck,’” adding that the structure makes damages claims against directors doubly hard to win.
- Analysts say investors should not gloss over it. D.A. Davidson’s Gil Luria noted the S-1 leads with commitments that are not profit-maximizing, such as never putting ads in Claude, and Evercore ISI’s Mark Mahaney said governance “limits shareholder influence.”
What Happened?
Anthropic’s S-1 states its goal is “to responsibly develop and maintain advanced AI for the long-term benefit of humanity,” and says the PBC status gives its board latitude to balance stockholders’ financial interests with those affected by its conduct. The company has restricted access to some models it deems too dangerous for wide release. Other PBCs include Warby Parker, while Allbirds dropped its PBC designation as part of a restructuring in June.
Why It Matters?
Anthropic would be the first major frontier AI lab to test public markets, and its valuation will set a benchmark for the whole sector. A structure that allows management to put safety ahead of revenue and gives founders majority voting control means public investors may have less say than usual, and Harvard Law’s John Coates noted investors typically charge more for capital when control is diluted.
What’s Next?
Investors will watch the IPO terms and roadshow for how Anthropic explains the balance between its mission and returns, especially as it continues to raise capital. Any move to change or drop the PBC status, as Allbirds did, would be a key signal, and the deal’s reception will shape the path for other AI labs considering listings.
