OPay Locks In $200 Million Privately Before Its New York IPO, Days After Firmus Showed What Happens Without It
Share on TelegramShare on TwitterShare on FacebookShare on LinkedinShare on Whatsapp
  • SoftBank-backed OPay Digital Services plans to raise about $500 million through a combination of a private placement and a New York listing, expected before the end of the year. Roughly $200 million of that comes from a parallel private placement with Standard Bank Group, leaving around $300 million for the public offering itself.
  • The company is among Africa’s most valuable fintechs and dominant in Nigeria’s digital payments sector, with more than 50 million monthly active users. It is also backed by HSG, the China arm of Sequoia Capital that separated from the firm in 2023.
  • Bloomberg notes the transaction will provide a valuation benchmark for Africa’s venture-backed technology sector, which has struggled with fundraising and muted deal activity since the post-pandemic slowdown in private capital markets.
  • Citigroup, Deutsche Bank, Standard Bank and China International Capital Corp are working on the listing, according to a Friday filing with the SEC. OPay declined to comment.

What Happened?

Africa has the world’s youngest and fastest-growing population and has proven fertile ground for fintechs filling gaps left by limited banking infrastructure. The listing would give US investors exposure to one of the continent’s largest payments platforms.

Why It Matters?

Anchoring 40% of the raise privately before marketing begins is the rational response to what just happened in Australia. The Firmus Grid IPO collapsed within 48 hours when US fund managers declined a $30 billion valuation and then declined again at $20 billion to $25 billion, after bankers had reported demand exceeding the offer size. Securing $200 million from a single committed investor before the book opens removes a large portion of that execution risk, and it is a sensible structure in a market that has just demonstrated it will walk away. The benchmark function carries weight beyond this company. African venture portfolios have had little price discovery since private capital markets slowed, and this listing will supply a reference point that marks the sector. That is the same dynamic Firmus demonstrated for AI infrastructure, where a refused IPO forced a reassessment of private marks across a category, and it cuts both ways. A strong print validates a continent’s venture valuations; a weak one marks them down. It is worth saying plainly that the substance here is stronger than much of what has been coming to market. More than 50 million monthly active users in a large underbanked economy is a real business with measurable usage, which distinguishes it from a company asking $30 billion on $51 million of revenue with 5% of its pipeline built. The risk is different in kind. OPay’s volumes depend on Nigerian household spending, and Nigeria is under acute cost-of-living pressure, with the government introducing fuel price modulation to defer part of an increase ahead of January elections after abolishing subsidies in 2023. A payments platform is geared to transaction volumes, and those are geared to disposable income in a market where fuel and food costs are squeezing budgets. Prospective investors should ask how volumes have behaved through the current pressure rather than relying on user counts.

What Next?

The listing is expected before year end, and pricing will set the benchmark the sector is waiting for. Watch whether additional anchor investors are secured ahead of the offering, since that would further indicate how the banks assess public demand. Nigeria’s January elections and the fuel price situation are the macro variables most likely to affect the underlying business. For African venture generally, this print determines whether more companies follow or whether the window stays shut, and the Firmus experience shows how quickly that can be settled.
