Oracle Invoked Force Majeure Against Its Own Developer, and Blue Owl Is Raising $6 Billion Against the Same Model

  • Environmental activists say disrupting Oracle’s New Mexico data centre has given them a template for campaigns against hyperscalers nationally. Mariel Nanasi of New Energy Economy says Oracle’s handling of water and air permits opened the door to court challenges that other groups can replicate.
  • The financial mechanism matters more than the campaign. Oracle sent a force majeure notice to the project’s developer, a unit of Blue Owl Capital, seeking to shield itself from costs tied to permitting delays. The contractual risk of regulatory obstruction therefore sits with the developer rather than the tenant.
  • Blue Owl is carrying that risk while raising against the same model elsewhere. Its Stack Infrastructure is seeking a $6 billion loan for a Melbourne project, and it backs Beale Infrastructure, which is pursuing a $3 billion data centre in Kansas.
  • A single county dispute moved a sector. News that Oracle was shielding itself from delay costs triggered a broad-based slump in hyperscaler shares and their vendors, which indicates how little tolerance for delay is priced in.

What Happened?

On October 15, twelve Republican state attorneys general asked federal regulators to permit construction of a gas pipeline Oracle needs to power the facility. An Oracle spokesperson said the company remains committed to developing Project Jupiter responsibly and protecting New Mexico’s air and water, respects the public’s right to raise concerns, and has responded with meaningful improvements to the design. Nanasi said activists will keep fighting until Oracle walks. Ben Green of the University of Michigan said the activists have achieved far more than he expected and that it is becoming harder for local officials and politicians to ignore dissenting voices.

Why It Matters?

Permitting is a different problem from community opposition, and the distinction undermines the mitigation strategy developers have been adopting. Digital Realty is offering every household in a Kansas town $1,000 a year for a decade, and Beale escalated from a $250,000 community fund to $20 million plus $9.4 million of water infrastructure within five months. Those payments buy local goodwill. They do not resolve a water or air permit challenged in court by an environmental organisation with legal standing, which may have no local presence and no interest in compensation. Nanasi’s point is precisely that permits create a judicial route that local negotiation cannot close, which is why she describes it as a template rather than a victory. The force majeure notice is where this becomes an investment question. Oracle is a tenant with an investment-grade balance sheet; Blue Owl’s unit is the developer that built on the expectation of a long-term lease. Invoking force majeure moves the cost of regulatory delay onto the party that financed the construction, and Blue Owl is simultaneously in the market seeking $6 billion for a comparable project in Australia. Lenders to that transaction should understand that this is how the contracts behave when permitting goes wrong, and it arrives as the sector’s credit is already being reassessed. The escalation to federal politics is the other development. Twelve state attorneys general intervening on a pipeline approval moves this from a county matter to a national one, and it lands as investors begin pricing a Democratic midterm win as a risk of tougher data centre regulation. Roughly $68 billion of projects were blocked or delayed in a single quarter and 72% of voters say they would oppose a local facility. The activists have found a method that works, and they intend to use it elsewhere.

What Next?

Whether federal regulators approve the gas pipeline determines whether Project Jupiter can be powered, and twelve attorneys general have asked them to. Watch whether similar permit challenges appear at other hyperscaler projects, which is what Nanasi says the template is for. The Blue Owl Stack financing is the near-term test of whether lenders price this risk, and the terms it clears at will show whether they have. For Oracle, the force majeure claim and any dispute over it with the developer is the contractual question that follows.
