MSCI Will Decide by November 11 Whether Strategy Is an Operating Company, and a UK Uranium Fund Faces the Same Test

  • MSCI finalised rules deeming companies that mostly hold investments rather than running a real business ineligible for its Global Investable Market Indexes. The affected list is due November 11 and the change takes effect at the close of November 30.
  • A test run on May 2026 data flagged three companies for possible removal from the ACWI Investable Market Index: Strategy, Metaplanet and Yellow Cake, a UK uranium investment company. The rule is not aimed at bitcoin specifically, it catches holding vehicles of any kind.
  • JPMorgan analysts estimate index exclusion could trigger about $2.8 billion of outflows from Strategy’s stock. The shares closed at $151.29, down roughly 72% from a record $543 in November 2024, while Metaplanet closed at 277 yen against a peak of 1,930 yen in June 2025, a decline of about 86%.
  • The mechanism matters more than the headline. Funds would sell the equity, not the bitcoin, so Strategy would not be forced to liquidate any of its 848,250 BTC worth about $69.67 billion.

What Happened?

MSCI first checks whether a company has substantial operating assets tied to a real business. A company that fails faces a second test on five financial ratios covering expenses, cash flow, changes in asset values and reliance on outside financing, and is ineligible if flagged on four or more. Buffers apply: an existing member is removed only after failing in each of its two most recent annual filing periods. MSCI is also ending the temporary measures introduced in October 2025 for companies where digital assets make up 50% or more of total assets, which froze share count increases and deferred additions. Michael Saylor has described Strategy as an operating business with a software arm and the bitcoin treasury as a distinct segment, rejecting comparisons with investment funds, and the company sells business intelligence software to customers including Coca-Cola and Porsche.

Why It Matters?

The funding loop is where the damage would occur, and the infrastructure network ZEROBASE put it well in noting that passive capital has become an important source of demand for these stocks and that any sustained reduction in that bid could tighten the equity issuance window several of them rely on to fund further purchases. Strategy buys bitcoin by issuing equity and preferred shares such as STRC and STRK. Index membership supports the share price and the liquidity that makes those issues possible. Remove it and the accumulation model becomes harder to run, not because anyone forces a sale but because the capital stops arriving. Anyone holding these shares on a bitcoin proxy thesis should understand that the proxy depends on continued access to capital markets rather than on the coins alone. The definitional question is genuinely difficult and MSCI has answered it with ratios rather than judgement. Whether a company holding $69.67 billion of bitcoin alongside a software business that serves Coca-Cola and Porsche is an operating company or an investment vehicle is a reasonable thing to disagree about, and Saylor’s position is not unreasonable. What MSCI has done is make the answer mechanical, applying five financial tests with a two-period buffer. The inclusion of a uranium investment company in the same flagged list confirms this is a structural rule about holding vehicles rather than a judgement on digital assets. That these stocks have already fallen 72% and 86% from their peaks is the context. Much of the de-rating has occurred before any index action, which suggests the market has been pricing this risk since the temporary measures were introduced a year ago. The broader point is the one worth carrying: index membership is a commercial decision by a private company, and this week MSCI has used that power to freeze a national market, warn another and redefine a corporate category.

What Next?

November 11 brings the list of affected companies and November 30 the effective date, so the window for positioning is six weeks. Watch whether Strategy contests its classification or restructures to satisfy the operating assets test. For holders, the question is whether $2.8 billion of estimated outflows is already in the price given the decline to date. Any effect on Strategy’s ability to issue preferred shares is the indicator that the funding mechanism has been impaired, and that would show up in the pace of bitcoin purchases rather than in the index itself.

Affected Tickers and Coins: MSTR, 3350, MSCI, BTC, STRC, STRK
