FT reports: “Although Nscale does not mention ByteDance anywhere in its 192-page S-1 filing, loan agreement supporting exhibit names Spring (SG) Pte Ltd as significant customer.” ByteDance used Nscale’s Glomfjord data center in Norway to rent 2,304 Nvidia B200 chips (May 2025 contract), exploiting loophole in US trade restrictions preventing China-direct Nvidia chip purchases. Arrangement entirely legal but exposes Nscale to regulatory and reputational risks amid US-China AI race. ByteDance commitment underpinned $105M Macquarie loan and $35M equity funding for Nvidia B200 purchase.
  • IPO disclosure concerns flagged: Harvard Law School professor Lucian Bebchuk: “It is important for potential investors in IPO to be able to assess both market and risks. Investors unaware of big Chinese customer would be in dark about material aspects of company’s prospects.” Nscale does warn in risk factors about “tighter US export controls” limiting ability to serve key customers, but does not name ByteDance. Also warns of “reputational risk” from dealings with Chinese customers and Asia expansion. One source quoted: “obligations to customers limited what could be disclosed.” SEC/IPO transparency questions raised about Nscale’s non-disclosure of ByteDance despite 73% of revenue dependency.
  • Macquarie’s compliance monitoring: Loan agreement required Nscale to monitor ByteDance’s chip usage, “routinely assessing deployment for compute anomalies or suspicious configurations” signaling export control breach. Nscale obliged to report anything suspicious to bank. Nscale conducted third-party due diligence on ByteDance/Spring to ensure deployment compliance with applicable laws. Geopolitical risk: US Congress trying to close loophole allowing Chinese entities to rent AI chips abroad. Biden-era rules poised to close it but scrapped by Trump in May 2025.
