Silgan Is Buying a $3.4 Billion Business, Keeping 60% of It and Collecting $2.3 Billion in Cash

  • Silgan Holdings agreed to buy Trivium Packaging from Ontario Teachers’ Pension Plan and Ardagh Group in a deal valuing the European metal packaging company at $3.4 billion including debt, its largest ever acquisition, against Silgan’s own market value of $4.2 billion.
  • The structure is the interesting part. Silgan expects cash proceeds of about $2.3 billion from the merger, which it will use to retire debt, while private equity firm American Industrial Partners invests around $1 billion for a 40% stake in the newly formed Silgan Metal Containers and Closures, with Silgan holding the remainder.
  • So a company is acquiring a business worth four-fifths of its market capitalisation, retaining control of the combined metal packaging operation, and emerging with $2.3 billion of cash to reduce leverage, funded substantially by its partner and by debt raised at the subsidiary level. The shares rose as much as 6.8%.
  • Silgan’s specialty packaging operations move into a second, wholly owned division called Silgan Dispensing Solutions, reorganising the portfolio around different customers, growth opportunities and capital allocation priorities.

What Happened?

Trivium supplies recyclable metal packaging for food, beverages and health and beauty, with more than 50 locations across 18 countries, and was formed in 2019 through the merger of Exal and Ardagh’s food and packaging arm. Platinum Equity discussed acquiring it in 2024 without reaching a transaction. Silgan, based in Norwalk, Connecticut, supplies rigid packaging across consumer goods, and its shares had fallen 6.4% this year before Monday. The packaging sector has been consolidating steadily as suppliers seek scale to cut costs and serve global food manufacturers.

Why It Matters?

This is not a conventional acquisition and the distinction explains the share price reaction. A straightforward purchase of a business worth 81% of your own market capitalisation would normally raise questions about leverage and integration risk. Instead Silgan contributes its existing metal containers business, brings in a partner funding $1 billion for a minority position, and takes $2.3 billion of cash out to pay down its own borrowings while keeping 60% of a considerably larger metal packaging operation. The financial engineering achieves scale and deleveraging simultaneously, which is why a company whose shares had fallen 6.4% this year rose 6% on announcing its biggest ever deal. Anyone evaluating acquisitions by indebted companies should look at the cash flows in both directions rather than the headline consideration. The seller side tells you about the current market. Ontario Teachers’ and Ardagh have been trying to exit this asset since at least 2024, when talks with Platinum Equity failed, and it has sold now only because someone constructed a structure that brought in a third party to fund part of it. That is the pattern across European industrial disposals at the moment: the Celsa sponsors are asking banks whether a sale, listing or dual track is even viable, and bankers are arranging up to €7 billion of debt to make a Siemens Energy unit saleable. Transactions are closing through engineering rather than through buyers simply paying. The reorganisation into two divisions with different ownership is usually a precursor to something further. Separating a jointly owned metal packaging business from a wholly owned specialty operation creates two entities with distinct capital structures, which makes each easier to sell, list or merge later. American Industrial Partners holding 40% with no stated exit route is the detail that will eventually matter.

What Next?

Completion terms and the debt raised at the Silgan MCC level will show how the $2.3 billion of proceeds is actually generated. Watch Silgan’s leverage after the proceeds are applied, since deleveraging is the stated purpose and the basis for the market’s approval. The two-division structure invites questions about whether either is eventually separated, and American Industrial Partners will want an exit path for its 40% in due course. For the sector, continued consolidation is likely while global food manufacturers favour scale suppliers.
