SoftBank Seeks $10 Billion Loan to Refinance OpenAI Debt — Part of $65B Commitment Due by October

  • SoftBank is seeking a $10 billion, 2-year loan — priced at approximately 275 basis points over SOFR, with Mizuho Bank as lead arranger and lender commitments due August 31 — to help repay part of the $40 billion bridge loan it secured earlier this year to fund its OpenAI investment, with the urgency driven by SoftBank’s stated goal of completing roughly $65 billion in total OpenAI investment by October.
  • The $10 billion loan is one of three concurrent financing tracks SoftBank is pursuing simultaneously: alongside it, the company is considering a $10-20 billion bond sale in public debt markets and a ¥1 trillion (approximately $6.3 billion) retail bond targeting Japanese individual investors — a financing structure that distributes OpenAI exposure across institutional lenders, bond markets, and retail savers in Japan.
  • SoftBank’s financing activity is part of an industry-wide AI infrastructure borrowing surge: US technology companies and their investors have raised over $410 billion in bond markets alone year-to-date in 2026 to fund AI infrastructure build-out, a pace that reflects both the capital intensity of the current AI investment cycle and the willingness of credit markets to fund it at still-manageable spreads.

What Happened?

SoftBank is arranging a $10 billion two-year loan through Mizuho Bank, with lender commitments due Sunday, August 31. The proceeds will partly repay the $40 billion bridge loan SoftBank secured earlier in 2026 to fund its OpenAI investment. Simultaneously, SoftBank is exploring a $10-20 billion bond sale and a ¥1 trillion retail bond in Japan. The combined financing tracks are designed to convert the short-term bridge loan into longer-duration instruments as SoftBank moves toward completing its full ~$65 billion OpenAI commitment by October. SoftBank’s investment is part of the broader Stargate initiative, alongside Microsoft and other partners.

Why It Matters?

The August 31 commitment deadline makes this the most time-sensitive data point in AI financing this week. SoftBank’s ability to raise $10 billion from institutional lenders at 275bps over SOFR — and to simultaneously place tens of billions in bond markets — is a live test of whether credit markets remain constructively positioned toward AI infrastructure debt at current valuations. If successful, it extends the AI capex financing cycle and gives SoftBank the runway to complete its October commitment. If lenders balk or spreads widen materially, it would be the first concrete sign that the $410 billion YTD AI borrowing pace is approaching market absorption limits.
