- The SEC approved listing binary options tied to key performance indicators at 23 US public companies, including trading volume at Coinbase, customer count and revenue at Robinhood, and bitcoin production at MARA Holdings. A binary option pays out on a simple yes or no question, such as whether a metric will exceed a set figure by a given date.
- The design includes sensible safeguards. Contracts are cash-settled and European-style, exercisable only at expiration, and settle on figures in companies’ SEC filings rather than numbers in earnings presentations, which limits scope for favourable framing.
- Cboe filed the rule change and plans to list this month, with Robinhood expected to be the first brokerage offering them to retail investors. Trading cannot start until Cboe Clear US receives provisional registration, with a separate application pending.
- SEC Chairman Paul Atkins said the approval does not affect similar contracts overseen by the CFTC, such as those on Kalshi, adding that agency turf fights have hindered innovation for decades and that this reflects a new spirit of harmony, innovation and investor choice.
What Happened?
The statement is dated October 13. Eleanor Terrett of Crypto America noted the approval creates a way to trade crypto-linked company performance beyond betting directly on bitcoin’s price, with the SEC approving this securities-options structure while leaving room for differently structured contracts under CFTC jurisdiction.
Why It Matters?
This is the fifth expansion of speculative access for US retail investors within weeks, and the aggregate is a different picture from any single approval. Leveraged crypto ETFs offering three times exposure have been cleared, Robinhood is offering perpetual futures with up to ten times leverage, exchanges extend to a 9pm to 4am overnight session from December 6, Cboe is exploring perpetual futures on the VIX, and now binary options on company metrics arrive. Each is defensible on its own terms and regulators have approved them through separate processes. Taken together they represent a rapid broadening of instruments with concentrated risk profiles being made available to non-professional investors over a short period. Binary options deserve particular care because of their record elsewhere. The instrument has been restricted or prohibited for retail investors in several jurisdictions including the UK and across the European Union, on the grounds that the payoff structure, all or nothing at a fixed expiry, combined with short durations, produces outcomes closer to wagering than investing. The US approval differs in important respects, being exchange-listed, centrally cleared and settling on audited regulatory filings rather than on a dealer’s price. Those are meaningful protections and they do not alter the basic economics of a contract that pays everything or nothing. Separating the metric from the share price is the genuinely novel part and it cuts both ways. A company can beat on revenue and fall on guidance, so betting on an operational figure is a different proposition from betting on the stock, and for someone with a specific view on, say, exchange volumes, that is a more precise instrument than equity. For someone without that view it is a coin toss with a spread. The jurisdictional framing is worth noting too: the SEC and CFTC are deliberately marking out parallel lanes rather than contesting territory, which is the same question Hyperliquid’s founder raised this week in arguing regulation should attach to deployers rather than networks.
What Next?
Cboe Clear US needs provisional registration before trading begins, so the timing depends on that application. Watch which of the 23 companies attract volume and whether the contracts are used by investors with genuine views on operating metrics or primarily as short-dated wagers. Robinhood’s role as first distributor continues a pattern, having been the vehicle for perpetual futures and prediction markets as well. For advisers, the practical point is that clients now have access to several instruments with very different risk characteristics from conventional equity exposure, arriving faster than most disclosure frameworks have adapted to.
