Aegis Is Buying Gulf Fuel Logistics for $809 Million and Arranging the Money Afterwards, Which Is the Comfortable Way Round
Share on TelegramShare on TwitterShare on FacebookShare on LinkedinShare on Whatsapp
  • Aegis Logistics is in talks with banks including BNP Paribas, HSBC and JPMorgan about financing its acquisition of Dubai-based Tristar Holdings, considering at least $300 million of foreign currency debt and roughly $250 million to $300 million through a qualified institutional placement, supplemented by balance sheet cash.
  • The deal is substantial relative to the company. Aegis agreed on October 13 to acquire about 90% of Tristar for $809 million, against its own market capitalisation of roughly $5 billion, so the purchase is worth about 16% of its value.
  • The sequencing is favourable. Completion is not expected until the end of March, the financing structure is not yet fixed, and the equity component would be raised after a year in which the shares have risen 87%. There is no bridge loan forcing the timing.
  • Tristar provides logistics across fuel distribution, tank storage, aviation fuelling, road transport and maritime logistics, which places the acquisition squarely in the region where shipping disruption has been most acute.

What Happened?

The purchase runs through Singapore-based subsidiary Aegis Logistics International. The placement may launch in coming months, and discussions with lenders continue with size and structure unresolved. Aegis shares rose 7% in Mumbai after the announcement before retreating later in the week. Representatives for Aegis and the banks did not respond to requests for comment.

Why It Matters?

Announcing a deal and then arranging the funding is the comfortable way round, and the contrast with Kimberly-Clark is instructive. That company must refinance a $7.7 billion bridge into a market where numerous issuers have deliberately stood aside, because the bridge committed it before permanent financing existed and its results on November 5 close the issuance window. Aegis has until March, no bridge, and the flexibility to adjust the debt and equity split as conditions allow. Both are reasonable structures and the difference in pressure is entirely a function of when the money was committed relative to when it was needed. Raising equity after an 87% share price run is the textbook sequence and worth noting because it is so often done the other way. A qualified institutional placement at $250 million to $300 million against a $5 billion market value is roughly 5% to 6% dilution, and issuing into strength minimises how much of the company is given away. The strategic question is more interesting than the financing. Aegis is buying fuel distribution, tank storage, aviation fuelling and maritime logistics assets based in Dubai, in the period when Gulf shipping has been under sustained attack, Brent has traded above $105 and longer-dated oil futures are rising on expectations that disruption persists into 2027. That is either a contrarian purchase of infrastructure at a price reflecting current conditions, or an acquisition whose operating environment is considerably riskier than when the parties began negotiating. The price paid relative to Tristar’s earnings would settle which, and that has not been disclosed.

What Next?

The placement timing and size are the near-term decisions, and launching into a weak equity market would increase dilution. Completion is expected by the end of March, leaving several months for conditions to change in either direction. Watch for disclosure of what Aegis is paying relative to Tristar’s earnings, which determines whether Gulf disruption is reflected in the price. For Indian corporates generally, outbound acquisitions of this size continue while the US trade negotiation remains unresolved and a law permitting tariffs of up to 100% on buyers of Russian oil sits unused.
